As the rapid development of economic globalization, it is no doubt that mergers and acquisitions have become an important way for most enterprises to grow in a high-speed. As a new-developed applied science, M&A plays an important role in modern economic management system. But from the perspective of enterprise development, mergers and acquisitions and restructuring activities are effective methods for the enterprise to expand externally through the capital market, to integrate the resources and to enhance their own position in the whole industry. Since China formally joined the WTO in December2001, the level of China’s opening up has been gradually increased. A large amount of foreign capital flows into Chinese market and participates in investment in the new international economic structure. Mergers and acquisitions, especially transnational mergers and acquisitions are being kicked off in China. However, the end of the process of mergers and acquisitions do not mean it is successful. Related statistics show that the success rate of transnational mergers and acquisitions averaged only25%. And the analysis showed that the ineffective integration of human resources is an important reason for the failure of mergers and acquisitions.This thesis describes the Corning company in acquisition of Tanaka’s human resources integration in all aspects of the process and the steps, an in-depth analysis of human resources integration mechanism for risk in Enterprise merger and, bring together a set of enterprise human resources integration in the mergers and acquisitions process for the development and implementation of the program.Through the research of this M&A case, it gives evidence that effect on the success or failure of the M&A and the integration of human resources has a very important role, the Manager of the enterprise in mergers/acquisitions in the future can have greater attention and support; Meanwhile through analysis of the company mergers and acquisitions at all stages of human resources integration problems encountered as well as the strategies to solve the problem, hoping it provides practical reference, effectively improve enterprise productivity to mergers in the human resources department.
