In this paper, we have research on the problem of restructuring of SMEs in Qinghai Province from the perspectives of the core competitiveness of comparative advantage to the transformation of SMEs. First, we explain the concept of SMEs and SME restructuring related theories from the definition of enterprise transformation, motivation, type, critical success factors, patterns and processes aspects. Meanwhile, we introduce enterprise transformation theory of comparative advantage and core competence theory; Secondly, from the history of the development of SMEs in Qinghai Province, we develop the status of the comparative advantages and core competitiveness situation and current challenges and opportunities, etc., described in Qinghai provincial SME development status; once again, for the status of SME development in Qinghai Province, according to business transformation theory, theory of comparative advantage and core competence theory, small and medium enterprises in Qinghai Province from "comparative advantage" to "core competencies" necessary transition sex, transformation and transition difficulties feasibility. On this basis, we propose a comparative advantage to SMEs from the transformation of the core competitiveness of the "five-stage" model, that is,"behind the comparative advantage advanced comparative advantage-the ability to integrate resources advantages advantages of industrial clusters-Core competitive advantages of integration."Again, from the small and medium enterprises and the government put forward two levels to achieve the transformation of SMEs countermeasures and suggestions. SMEs should adjust the industrial structure, increase innovation, improve management and develop key personnel and other aspects to enhance the core competitiveness. Government should finance support, financial support, marketing guidance, policy support, service and other aspects to enhance the promotion of SME development and transformation; finally, concludes the paper and presents the main conclusions of this study, innovation as well as limitations and prospects.
