Since the twentieth century,China's economic development has become increasingly rapid,becoming the world's second largest economy and the world's largest developing countries.Unique market environment and rapid changes in the Chinese enterprises through a short period of time,they have completed the development of a generation of talent to achieve the scale and quality of a huge upgrade.Enterprises have sprung up to the fierce competition in this market.With the further development of economic globalization,the process of accelerating the process of market economy,the complexity of the internal and external environment,more and more enterprises began to expand the scale of assets and income through mergers and acquisitions,broaden the business channels,Increase customer resources,enhance core competitiveness.In many enterprises mergers and acquisitions activities,participants are often only able to see the increase in assets,scale,to better capture the market,or even to achieve the purpose of defeating competitors.However,from the actual results and data,the successful mergers and acquisitions or mergers and acquisitions after the reorganization of enterprises to bring bright future cases are rare.This paper and some research points that the cause of this problem is an important reason is that the parties involved in the merger and reorganization of strategic planning,not enough attention to the integration of corporate culture on the overall M & A success or failure.Making a lot of business is simply a business,personnel integration,so give us the feeling is only its shape without its gods,while ignoring the corporate culture of mergers and acquisitions to help the role of reorganization,a lot of business is because the lack of attention The integration of corporate culture,which appeared a lot of irreversible serious problems led to the merger and reorganization of enterprises ended in failure.Research on the integration of corporate culture will provide a strong theoretical basis for enterprises to achieve healthy and sustainable development through mergers and acquisitions.This paper first elaborated the meaning of corporate culture and mergers and acquisitions,combined with the existing theoretical research,the corporate culture integration process for the four stages-try to explore,collision conflict,assimilation,innovation and development.And further elaborates and summarizes the four main factors that lead to the success and failure of corporate culture fusion-spiritual and cultural conflict,institutional culture conflict,value culture conflict and material culture conflict.In order to put forward the reasonable proposal of corporate culture,this paper lists four well-known cases of mergers and acquisitions of Chinese and foreign enterprises,and analyzes the relevant theoretical basis of cultural integration.It is found that the influence of spiritual culture on the integration of corporate culture is very important.Through the establishment of a good and smooth communication mechanism,the enterprises should reach a consensus on the value culture and sum up the corporate culture in the enterprise.In the enterprise culture,The merger and reorganization brought about by some of the revelation and recommendations.
