| With the conducting of reform and opening-up as well as entering into WTO, China has accelerated its step towards the international standard. Meanwhile, the Chinese corporations have also grown up to a certain extent, some of which have run well and even established branches in foreign countries. However, why do other companies cannot make more progress in face of seemingly endless difficulties? We may find the answer within the book the author of which is a professor from the University of New Hampshire. This book delivers popular concepts and methods concerning corporate governance among American companies, including some classic cases and theories.This report discusses the translation of the book A Blueprint For Corporate Governance (chapters 7-9). The source text introduces every specific issue concerning corporate governance. The seventh chapter tells us with examples the necessity and method of dividend distribution. The eighth chapter introduces the components of managerial compensation-base salary, short-term incentive plans and long-term incentive plans. The ninth chapter presents the issue of corporate control market.The main contents of this report consist of four parts. Part one is a description of the translation project, including the background, objectives, significance and the structure of the project. Part two is the background of the source text, including an introduction to the author, edition, main contents and analysis of the source text. Part three discusses the translation difficulties and the translation methods adopted. During the translation process, in order to deal with the complex sentences and the information delivered from the source text, the adopted methods are mainly conversion, addition, omission, division and other techniques based on the Functional Equivalence Translation Theory. Part four summarizes the insights, lessons and experience obtained from this project as well as some unsolved problems. |
