Social organizations in making up the "government failure" and "market failure", also can appear "voluntary failure" for various reasons. So, whether and the social organizations can and how to overcome the "voluntary failure" is an urgent need to solve the problem of theory and reality.Basing on the folk public welfare organization as investigation object, and combining with the theory and empirical research, this paper puts forward the "moral theory of contract". "Moral contract" is constituted by five variables, including the leader (moral) charisma, commonweal mission, social accountability, donative contract, volunteers, a sense of accomplishment and belonging; In the course of tissue growth and operation,the folk public welfare organization formed the binding, which is similar to the enterprise profit "hard constraints", constantly push it to pursue the excellence; Leader charisma is folk public welfare organization of internal soft constraints, commonweal mission is internal hard constraints, social accountability is soft external constraints, gift contract is a external hard constraints, volunteers a sense of accomplishment and sense of belonging is lasting impetus of the development of the folk public welfare organization."Moral contract constraint theory" explains why folk public welfare organization overcome the "voluntary failure", thus to put forward the folk public welfare organization of internal and external governance model provides reference. What the policy meaning is that it provides theoretical evidence for government, they should "focus on cultivating and priority to the development of industry association chamber of commerce, technology, public welfare charity, urban and rural community service class social organization", and from the above four types of social organizations registered director unit.
