With the industrial development and expansion of city scale, government continualy expropriate collective-owned land in rural areas for city construction. Land expropriation brings about changing of traditional life style in rural areas, which means the disapprearing of essential life gurantee and government expects to increase financial revenue and develop city’s financial status through land expropriation. Stakeholders contend with each other about land benefit, which results in series of disbute and conflict such as violent demolitions and compulsory relocation, or complaint visits, and thus lead to negative social influence. Theredore, how to balance benefit of stakeholders, decrease or elimate the above issues, guarantee farmers’ rights, and appropriately arrange employment and social security of the farmers who lost their land, have been becoming increasingly important issues.This study uses the method of observation and combing in-depth interviews to analyses issues emerging in land expropriation using land expropriatin status of Henan village D as sample. Through this case, it will rich the investigation and research of land expropriation in China; it will provide suggestion in solving the confliction between farmer who lost their filed and the government. Land expropriation brings about changing of traditional life style in rural areas, which means the disapprearing of essential life gurantee, so as the farmers of village D.The disbutes and conflicts reply that the benefit requirements of the farms who lost their land and the ability of government for compensation are not identical. Hence we are supposed to identify the exact requirement of farms and confirm accordingly conpensation measurements, carry on rural collective-owned land expropriation, and accomplish compensation and social security settlements.This study reviews investigation and research concerned, and analyse the representativeness of village D as sample. The land expropriation status in village D reflected the common issues in China such as the faultiness in this process, the rights of farmers can not be reasonaly protected, emplyment and social security are not perfect. However, D, as a third line village in Henan, differs a lot with rural areas of coastal cities and first line cities in terms of social attributes, which means they are different from issues of compensation and follow up occupations arrangements, and the oppucation and social security arrangements are very sharp. The autoranalyse land expropriation issues of village D as sample of meddle and western areas villages. Land expropriation status in village D will be reviewed in the first place, and the reasons of issues coming up in this process will be analysed; on this basis, accordingly suggestions will be presented about how to promote compensation, occupation arrangements, and farmers’ rights protection in land expropriation.
