Private Education continues growing up as the economic development, experienced from the permit, to encourage, and supporting process. According to Statistical Communiqué on national education development, there are 139.9 thousand private education organizations. Some problems come up while private school develops, such as Private primary and secondary schools compete for quality student resources. This is performance of both market failure and government failure in industry management, which has seriously affected normal teaching order. Therefore, both government and private school is not the representative of industry, the private education market is not exactly run by market or by government. So, this paper focuses on one mode which could protect social capital enthusiasm of participating education and could keep the order and public benefit of education.This paper attempts to use public management and new public management knowledge, deeply understand the essence of private education. As private education has the same product but different ownership from public education, Association of private education management is key successful factor for private education industry management. Position, function and governance of Association of private education is very important to resolve market externality problems.This paper uses literature research method, including public administration basic theories, non-profit organization management theories, and business management theories. As for more practical significance, the paper also researches national policy, Statutes, regulations, research reports of Chengdu Association of Private Education. And this paper also uses interview method, including communication with management team of Chengdu Association of Private Education, private education schools, teachers and students. Finally, this paper uses the case study method, comparing the difference history, function and governance between domestic and foreign association of private education to summarize possible Chinese model.This paper main conclusions and contributions is to propose reposition and an independent development model for Chengdu Industry Association of Private Education as the representative of Chengdu industry benefits, based on the status of Chengdu private education. This method will lead Chengdu Industry Association of private education gradually transform from government-led mode to civil autonomy mode. This transformation needs to convert the functions of government, to strengthen private education association’s capacity, and to build third-party services, this shift is a long-term task.
