The thesis is mainly concerned about the development path of management-control mode of Brilliance Auto Group (HC Group for short) in two ways:First, it deeply excavates and systematically summarizes the group management-control law to explore the available application mode of the group management-control theory which can be directly learned and borrowed by Chinese enterprises; Second, it emphasizes to promote the relevant research results to apply to the enterprise group management-control practices, from a point of view of "based on the practice, exploring practice, servicing practice". The paper profoundly examines the reasonable application of the group management-control theory with the development of the enterprise group, so as to provide a theoretical guidance and reference for the business management and further promote the growth of enterprises.Based on the analysis of HC Group’s management-control system implementation process and the theory that ownership does not equal management right, the paper has rationalized the core industry chain and the experience of industrial layout adjustment, and proposed countermeasures and methods to solve management-control system problems which exist in the enterprises with a complex equity relationship, referring to the theories of the contemporary corporate governance. These countermeasures are available for other manufacturing companies confronting the similar problems, although they are special for HC Group at the beginning.The paper is divided into six chapters:Chapter1introduces the research background and significance; Chapter2defines the meaning of management-control, and the function and design principle of the group management-control system; Chapter3mainly talks about the current situation of HC Group’s management-control, and summarizes the existing problems, including the vague positioning, the complex equity structure, the nonstandard corporate governance structure and the problems related to control the subordinate units; Chapter4determines the vision of Group’s management-control mode and the division frame of powers and responsibilities based on its more than10dimensions, builds a three-tier management system, and summarizes and refines management functions covered by Group’s management system, as well as the management methods related to the management functions; Chapter5develops the adjustment and implementation plan of headquarter functions and Group’s organization structure, the implementation plan of the management rights and ownership separation, and a three-tier management system construction, as well as a problem-solving pre-arranged plan of the implementation process; Chapter6summarizes HC Group’s management-control system and puts forward suggestions for further improvement.
