With the state-owned enterprise reform progresses, the competition between state-owned enterprises increasingly become fierce.In order to obtain continuous core competitiveness, state-owned enterpris must set up a high-quality middle management personnel. At present, the state-owned enterpris is in the drawbacks of the incentive management on the knowledge worker, update and design the incentive mechanism has become an urgent problem.In this paper, through the analysis of the present situation of incentive system on middle managers in state-owned enterprise G, there is a significant problem in the aspects of motivation theory and incentive measures. In the theory of psychological contract and excitation, by studying characteristics of middle managers and the position in the state-owned enterprise, it demonstrates the necessity and importance to design the incentive mechanism based on psychological contract..The paper is through psychological contract questionnaire, to study the psychological contract status. Data were analyzed by using the statistical software EXCEL, obtained the following results: psychological contract is the three-dimensional structure of middle managers.And in practice, the extent of the psychological contract violation of the business bear the responsibility,which is higher;otherwise lower.At the last of the paper, on the basis of the above conclusions, an incentive system is established to excite middle managers in the state-owned enterprise based on the psychological contract. The incentive strategy system is constructed from the dimensions of transaction-psychological contract,thedimensions of relationship-psychologicalcontract and the dimensions of development-psychological contract, to set up the whole incentive system on knowledge staff in state-owned enterprise based on psychological contract.
