The uncertainty of the business environment in China is increasing, business methods, ways and frequency have changed a lot, because Spin-off is set up by parent enterprises or former employees,it has a certain network, experience and other advantages,so the success rate was significantly higher than that of ordinary business. In essence, Spin-off is one kind of entrepreneurial activity, with the complexity inherent in entrepreneurial activity, at the same time, Spin-off is a unique entrepreneurial activity, it also has its special properties. Entrepreneurs with experience as well as the relationship from parent enterprises can greatly improve the entrepreneurial success rate,so cause more and more attention of scholars.By reading the relevant literature of Spin-off,I found that current research on Spin-off mainly focus on entrepreneurship motivation, processes, type and so on,the study on Spin-off about entrepreneurial team is less,even,it has no reach about entrepreneurial team that resign from the same parent enterprises. Entrepreneurial team is the main body of entrepreneurship, entrepreneurial team’s formation is the precondition of entrepreneurship, the team’s knowledge, experience and ability of Spin-off is better than a single one, in particular the Entrepreneurs that from worked at the same time in the same parent business, the work experience of parent enterprises trains the team tacit understanding and shapes the complementary advantages,finally drives the the creation and development of Spin-off. Therefore, study on Spin-off from team perspective can make up for the inadequacy of the theory of Spin-off.In this paper,I researched YH Co., Ltd,and used grounded theory analysis the case data,finally get six main categories,those are entrepreneurs resignation, entrepreneurial motivation, complementary experience of team member, work experience of parent enterprises, entrepreneurial team formation, new enterprise development. In the process of selective decoding,I find out the relationship among the six main category,and through analysis,I get the motivation of team formation,the support of entrepreneurial team and the relationship between entrepreneurial teams and the new enterprise development.The innovation lies in that this paper from the perspective of a team to study Spin-off. Specifically, this paper includes the following six sections:The first part is the introduction. Mainly introduces the selected topic background, the theoretical value of this study, research status, research contents, research methods and innovation.The second part is literature review. This part review literature from Spin-off and entrepreneurial teams,Spin-off theory mainly from Spin-off definition, classification,motivation and process, entrepreneurial team theory mainly from entrepreneurial teams’connotation, classification and construction.The third part is the research design. This part mainly expounds the case collection and analysis, including the necessity of case study, the selected case description, grounded theory analysis method.The fourth part is the grounded theory analysis of case. Including data open coding, axial coding and selectivity of decoding.The fifth part is detailed explanation. By grounded theory analysis, finally come to the conclusion, this part is detailed explanation of conclusion.The sixth part is concluding remarks. First summarizes this study, secondly puts forward Suggestions for the selected object and future entrepreneurs, and finally, the paper points out the future research.
