In late 2001, with China’s accession to the WTO, the state-owned trade enterprises gradually realized the importance of the transformation. In the first half of 2004, the Ministry of Commerce had issued Decree no. 8 that Measures for the administration of foreign investment in commercial fields which made the state-owned trade enterprises were forced to transform losing the right of monopoly totally. During the time of the transformation, the state-owned trade service enterprises’ have tried many methods. However, the result is not satisfactory. Therefore, analyzing the problems in the process of transformation and finding out the solutions are very important. In this paper, the author, from the perspective of the problems which restrict the development of the enterprise transformation, targeted put forward the countermeasures, hope to help state-owned trade service enterprises’ transformation better.This paper first introduces three important stages and characteristics of the state-owned trade service enterprises’ development. Then it analyzes some problems about the transformation, including lacking of competitiveness, financing trade risk, enterprises’ informatization is not sound and lacking of talent. Next, based on the problem of the transformation, the paper puts forward the solutions of the state-owned trade service enterprises’ transformation. The first is to strengthen the core enterprises’ competitiveness through establishing strategic partnership. The second is to enhance the internal and external information construction in order to help transformation with technical support.The third is to establish the financial trading business monitoring system to maintain the business security while profound understanding of the financing trade risk. Finally, we put forward that the enterprises can effectively manage the talent problem as long as developing a long-term training plan. The fifth part formulates specific implementation methods by using the Instrimpex’s existing business. The first is to establish partners with ‘the giant counterparts’. Secondly, speed up to establish conforms to the requirements of business development of information exchange platform. The third is to solve the talent problems through carrying out pilot projects. Finally, the enterprises should establish a risk management system to control the business from the source.
