The research objects of this study are the knowledge-based employees in the Shanghai foreign enterprises. This study is based on the reviewing of the literature and papers, finding definition of variables, looking for the research hypothesis and model construction, doing large sample empirical investigation and analyzing the relevant data. Meanwhile, this study is through understanding the benefits preference and measuring the benefits satisfaction of the target employees, combining the theory with the practice to improve the benefits management system of foreign enterprises in Shanghai.The first part is the introduction expounding the research background, research questions, research significance, research objectives, research contents, research methods, research innovation and research insufficiency. The second part is the review and comments on the basic concept of employee benefits needs and satisfaction. Firstly giving the definition of the benefits of employees, the benefits satisfaction and the knowledge-based workers and then searching for the related literature review and summary from China and other countries for the employee benefits needs and benefits satisfaction. The third part is the research design and model construction. Firstly finding the definition and the interpretation for the employees benefits needs and benefits satisfaction to construct the hypothesis model and related theory. Then analyzing and designing the details of the questionnaire and finally doing the per-survey to make the formal investigation questionnaire perfect. The fourth part is the empirical study on knowledge-based employee benefits needs of foreign enterprise in Shanghai. Firstly doing the descriptive statistics to know is there a leap between the benefits supply and demand now. And then using the factorial analysis and correlation analysis to find out how the individual and organizational factors affect employee benefits needs and preference. The fifth part is the empirical study on knowledge-based employee benefits satisfaction of foreign enterprise in Shanghai. Firstly doing the descriptive statistics to know the situation of the current benefits satisfaction. And then using the factorial analysis and correlation analysis to find out how the individual and organizational factors affect employee benefits satisfaction. The sixth part is the conclusion of the study, suggestions and prospects for the benefits management. Offering some constructive suggestions and opinions of the management for government and enterprises to improve employees benefits management system.The main conclusions of this paper can be seen as follow:(1) The benefits supply and demand dislocation phenomenon does exist in the current Shanghai foreign enterprises;(2) Employee benefits needs/preference and the benefits satisfaction of the target employees are multidimensional;(3) Individual factors and organizational factors have a significant effect on employees benefits preference;(4) Individual factors and organizational factors have a significant effect on employees benefits satisfaction.
