The lack of Chinese corporate social responsibility is a serious problem that can not be ignored. In recent years, corporate social responsibility has been widely concerned by scholars, entrepreneurs and the government. Throughout the existing research, scholars discussed this issue only from the perspective of business ethics and strategic management, but the lack of integration of different theoretical perspectives. At the same time, existing studies ignore the role of top managers, related studies also limited demographic characteristics, however it does not fully reflect the cognitive models and psychological characteristics of managers. At present, foreign scholars have begun research executives cognitive and values issues from sociology and psychology perspective,but empirical research on managers cognitive, corporate social responsibility strategy and performance has not been perfect, but lack of appropriate studies under the C hinese cultural background. In view of this, the paper draw domestic and foreign research results, combined with the practical background of C hinese enterprises, this paper selects the 2010-2014 China’s Shanghai a nd Shenzhen A-share 223 manufacturing enterprises as the research object, study the relationship of management cognition(including the cognition of external environment and the cognition of internal conditions), corporate social responsibility and corpora te performance.Considering the scope and context of corporate social responsibility, so we introduce the contingency factors of organizational slack and the scale of the organization to study the regulative mechanism.In this research, we use the software N vivo QSR 8 and SPSS 21 to test the hypotheses.The results showed that: First, managers cognition have an important impact on the corporate social responsibility. Among them, managers external environment cognition can promote corporate social responsibility behavior, managers internal cognition had no significant effect on the corporate social responsibility.but in the long run, the manager cognition will not have the impact on corporate performance.Third, corporate social responsibility has a significant negative impact on short-term performance, but in the long run, it can contribute to enhance corporate performance. At the same time, Corporate social responsibility plays an intermediary role between the managers external environment cognition and the short-term performance.Fourthly, we further examine the situational factors found that organizational slack positive regulate the relationship between the managers external environment cognition and corporate social responsibility, but it negative regulate the relationship between the managers internal cognition and corporate social responsibility. The relationship between corporate social responsibility and short-term performance is positively regulated by the other situational factors that corporate size. But it did not regulate the relationship between corporate social responsibility and corporate long-term performance.This study not only enriches the upper echelons theory, provide ideas for crossover study between organizational strategic leadership and corporate social responsibility,but also provide a convincing justification for managers to active corporate social responsibility, guide enterprises to actively fulfill their social responsibility to promote the harmonious development of economy, society and ecology,it has important theoretical and practical significance.
