The development process of agricultural transformation is related to agricultural modernization in China, the capital to the countryside,as an important transition path,in recent years, has been strongly supported by national policy.Chinese peasant's trivial farming mode,in the background of market-oriented,is also facing trouble in low efficiency and poor ability to resist risks, needs to introduce the urban industrial and commercial capital into the field of agriculture, realizing the agricultural efficiency and rural incomes and rural prosperity through scale operation. In this process, the capital is embedded into the field of the village community,so the relationship between rural capital and village society becomes the core issue in the study of capital to the countryside. This paper is followed by humanistic methodology, based on the classical “state and society” analytical framework, trying to integrate the role of capital with it,and intending to present evolution in the village B,north Jiangsu province,in the process of capital to the countryside. The research has revealed that,He Shun Inc.as the typical agricultural company through building the relationship with local government officials, promotes the way of obtaining national and local policy support and project subsidies, but its operation also has been structuralized by rural society. So the joint action of capital under the protection of authorities,Utility oriented of village cadres, capital's profit-driven and exclusion of the villager's rationality has led to alienated functions of capital to the countryside, presenting the basic state of suspension, which violates the original intention of the implementation of the national policy.
