Through combing incentive theories and relevant documents of their applications, we found that there are more theories and applied researches for how to better motivate employees, but there are less researches for the special group of lower employees in overseas companies of oil and gas exploration. However, lower employees are important implementers for corporate strategies, and they can not be ignored on achieving long-term strategic objectives.In this paper, spiritual drive of lower employees in YC overseas company as the background, the relevant incentive theories of the scholars both at home and abroad are combed and generalized, basing on the background and significance about the research. First, the traditional incentive theories, such as two factors theory, X theory and Y theory, hierarchy of needs, and the modern theories, for example, expectancy theory, equity theory, goal-setting theory, are studied. The status of spiritual drive of lower employees in YC overseas company on the basis of the satisfaction survey for lower employees is described, then the problems about spiritual drive of lower employees is analysed.According to the analysis results of spiritual drive problem of lower cmployees in YC overseas company, improvement strategies and the nplementation principles are put forward by making full use of various means and methods of modern incentive theory, with the aim to establish the incentive systems that adapt to the company characteristics and the demand of lower employees, to excitated the company vigor and increase the enthusiasm and creativity of lower employees, and to embark on an unique way to management innovation. YC overseas company also need to strengthen construction in terms of rules and regulations, organizational structure, training system and corporate culture. Finally, the full text is summarized and the problems that need further been studied are put forward.
