With the separation of ownership and management,the contradictions between principal and agent have become increasingly prominent,equity incentive system is an important way to solve this conflict.On the one hand,the equity incentive make the benefit agreed between shareholder and management.On the other hand,the implementation of equity incentive can also help enterprises to retain the core personnel and attract foreign talents.This paper adopts case analysis as the research method,explore the motivation of implementing the equity incentive program and the impact on the performance of case enterprise.The successful experience can provide valuable reference for the listed companies in china.In this paper,we firstly review the related literature of equity incentive at home and abroad to determine the necessity of this study.This paper introduces the basic concepts and the theoretical basis of equity incentive,analyzes the development process and present situation of equity incentive.On this basis,this paper introduces the basic situation of case enterprise,discusses the contents of the four different equity incentive programs in case enterprises.Starting from the motivation of equity incentive,the paper analyzes the content of the different options and the financial performance and market performance.During the implementation of equity incentive,the company performance improved effectively,the quality of the staff and the ability of innovation are improved and get a good market effect.Lastly,based on the analysis results,we summarize the successful experience and shortcomings of the equity incentive plans.The Aier Eye equity incentive is tightly integrated with corporate strategy;the scope of the core staff is gradually expanding and the equity incentive intensity is increasing;Change the single incentive model into diversified equity incentive mode.But the shortcomings of plans is the low setting of the right conditions and the single evaluation index.This paper argues that the design of equity incentive should establish effective performance evaluation system,improving the effect of equity incentive by a diversified equity incentive model.Combining personnel positions with equity incentive,let everyone in the same position can be fully motivated,ensure the successful implement of equity incentive.
