Modern enterprise operation mechanism,is essentially a "contract-proxy pattern",its essence is characterized by separation of management right and ownership.The equity owners of the company(shareholders)tend not to participate directly in the management of the enterprise,but entrust the management right to the professional(professional managers)through the "contract-agent" mode,and they exercise certain rights.Because of the differences in the attitudes of the shareholders and the professional managers on the risks,the distortion of the information and the difficulties of regulation,it creates the so-called moral hazard and agent costs.In order to avoid the risk of moral hazard and decrease agency cost,the shareholders must establish an effective mechanism of incentive and constraint,tie the interests of both parties to shareholders and professional managers,therefore,equity incentive system arises to the historic moment.Implementation of equity incentive in the company in China,the proportion of real estate enterprises is bigger,but the United States of Enron corporation,and the development of the domestic equity incentive as welfare development,making more and more experts and scholars of equity incentive system,enterprise owners.In order to better realize the sustainable development of enterprises,many companies according to their own characteristics and industry characteristics,constantly explore and try a new system of corporate governance,business partner system arises at the historic moment under such background.The partnership system was first tried out by Alibaba group,founded by jack ma,and its listing on nasdaq in the US marked the official start of our partnership system.Early in 2014,represented by Vanke real estate enterprises after a long discussion and research,introduced a system of business partners,this system not only solves the real estate companies in the "contract-agent" mode of moral hazard and the agency cost problem,more effectively overcome the pure equity incentive brings hidden trouble.This paper will take the business partner system as the research object,take the establishment of the real estate company's business partnership system as the starting point,take the design and implementation of the business partnership system of H real estate company as an example,expound the design process and implementation guarantee of the establishment of the real estate enterprise business partnership system,provide the reference for the same type company,and put forward the conclusion and prospect with practical significance.
