The parties between the Amended and Restated Series A Preferred Share Purchase Agreement are Cayman Islands Company and its investors.The purpose of this paper is to study the translation of “shall” and “may” in this Agreement and to summarize the translation rules of these two modal verbs in this agreement.The author studies the expression of modality in both Chinese and English.Modal verbs have certain meanings.In modern Chinese,they are used to express possibility,will and necessity,which are also called“Neng Yuan”(??)verbs or“Zhu”(?)verbs.In English,modal verbs give the functional information of the active words they dominate.Modal verbs have various communicative functions,but these functions are usually related to possibility and necessity.This translation report adopts a comparative method of modal verbs in modern Chinese and English and a case study method,and the author finds some translation methods of modal verbs“shall”and“may”which are frequently used in the purchase agreement:“shall”is translated as“Xu”(?)and“Ying”(?),and“Bi Xu”(??)and not translated in modern Chinese.There are mainly two kinds of translation of"may":first,it is translated into“Ke Yi”(??);Second,translated into“Ke Neng”(??).The author hopes that the exploration of the translation of modal verbs“shall”and“may”can provide some reference for other translators to translate them in the similar texts.
