A Report On The Translation Of A Company's Series B2 Preferred Share Purchase Agreement

In recent years of the global economic downturn,China's economy continues to develop in a comparatively healthy and stable way.Therefore,as China's international status is getting improved,more and more overseas companies turn to China for help,in the hope of seeking in China the funds needed for their development,which has caused a flood of investment cooperation between Chinese and foreign companies.As a result,the demand for the translation of contracts in both Chinese and English grows day by day,which not only provides a number of translation practice opportunities for translators specializing in the E-C translation of contracts,but also put forward higher requirements on the professional translation level of translators.Contracts belong to the category of legal texts,and as the legal precondition and basis of cooperation,contracts stipulate the rights and obligations of the parties,which are of great significance for the smooth cooperation of both sides.As a kind of contract texts,the preferred share purchase agreement is also characterized by professional words,accurate meanings and strict structures.At present,in terms of the translation of legal texts,a majority of the translators engaged in the translation of contracts are part-time ones who lack professionalism and experience in the translation of such a kind of texts,and in fact,most of these translators still use the experience and methods of translating nonlegal texts to translate contract texts.As a result,translation quality varies,and non-standard and even erroneous translations occur frequently.Therefore,when it comes to the translation of contract texts,there remain quite a few aspects that deserve our research and discussion.This report takes the E-C translation of a company's B2 Series Preferred Share Purchase Agreement as an example,analyzes the characteristics of English contracts,especially from lexical and syntactic perspectives,and summarizes corresponding methods and skills for the translation of words and sentences in English contracts based on specific examples from the perspectives of intratextual coherence and intertextual coherence put forward in skopos theory.
