Xi Jinping proposed that the characteristics of Chinese State-owned enterprise is that the Communist Party of China participates in the corporate governance at the National Party Construction Working Conference in 2016.It pointed out the direction for Communist Party of China to participate in the governance of state-owned enterprises and put forward requirements.At present,how the Communist Party of China specifically participates in the corporate governance of state-owned enterprises does not have uniform treatment rules and operational norms.This paper takes H state-owned group companies as research objects and uses case study methods to explore the practical issues of party organizations participating in state-owned enterprise corporate governance.Based on the principal-agent theory and stakeholder theory,this paper sorts out the model of corporate governance,the historical evolution and research literature of the Communist Party of China participates in corporate governance in state-owned companies,and expounds the theoretical basis and practical needs of the Communist Party of China participate in corporate governance of state-owned companies.It mainly introduces how the Communist Party of China patricipates in the corporate governance of H state-owned companies.Finally,this paper draws four inspirations from the case.That is,the participation of the Communist Party of China in corporate governance is a unique institutional advantage of state-owned enterprises.The focus should be on building a mutually balanced governance structure,focusing on party committee secretaries and directors.adhere to and improve the patrol inspection system of state-owned enterprise party committees to improve corporate governance.
