Under the current rapid economic development,as an emerging market country that catches up with many latecomers, the transformation and upgrading of China's latecomers has become an important support for the sustainable development of the country's economy. However, domestic latecomers not only face the dual disadvantages of technology and the market, but also face the dilemma of "internal concerns and external problems" of the gradual loss of internal cost advantages and the return of external developed country enterprises. The disadvantages and plights of late-developing companies force them to find another way out.It is the general trend to reverse the disadvantages of domestic late-developing enterprises through innovation.Improving the level of industrial structure and accelerating the pace of corporate transformation and upgrading, actively establishing the company's own advantages, gaining market share, and achieving innovation catch-up are important strategic decision-making logic for late-stage enterprises in China to achieve innovation catch-up.Strategic orientation is an important basis for the rational deployment of resources by latecomers to achieve transformation and upgrading.Entrepreneur orientation,as one of the important strategic orientations, pays more attention to the characteristics of innovation, initiative and risk-bearing,so that late-developing enterprises can sharply identify market opportunities during the upgrade process, and promote company innovation by acquiring resources Development, realizing innovation catch-up and industrial upgrading of late-developing enterprises.Knowledge resources are important means and tools for an organization to win a competitive advantage. The survival and development of an enterprise depends on its ability to acquire, absorb and utilize valuable external knowledge resources. This article takes Chinese small and medium-sized late-coming companies as the special situation, and studies the mechanism of how entrepreneurial orientation as a pre-factor affects the innovation performance of late-coming companies based on the perspective of knowledge management theory. It selects Xinjiang,Xi'an,Hangzhou,Empirical research on sample data of 251 late-developing companies in Beijing,Guangzhou,Shenzhen and other regions, specifically analyzing the role of entrepreneurial orientation(innovative, proactive and risk-bearing)on the innovative performance of late-developing companies through external knowledge acquisition. The study found that: first, entrepreneurial orientation characteristics such as innovation, initiative, and risk-taking,positively affect the innovation performance of late-developing enterprises;second, external knowledge acquisition has a fullmediating role between innovation and innovation performance of late-developing enterprises,Partially mediates the role of proactiveness,risk-taking and innovation performance of late-developing companies. Finally, absorptive capacity not only directly regulates external knowledge acquisition and innovation performance of late-generation enterprises, but also indirectly affects the mediating role of external knowledge acquisition..The research conclusions in this paper further enrich the theoretical research on the impact of strategic orientation on the innovation performance of late-developing enterprises, provide theoretical basis and support for Chinese late-developing enterprises to carry out innovation activities, and in practice, they can also provide some reference for late-coming innovation to catch up.
