The study on the culture integrative Model of Chinese corporates cross-border M&As has theoretical and practical significance. Based on the synergy theory in M&As, the integration theory, the social identity theory, the trust theory in organizations and the Dao-oriented management theory, this paper puts forwards three questions to meet the practical needs of Chinese corporates cross-border M&As: Is there any difference between Chinese corporates and western corporates in culture integration in cross-border M&As? How did the Chinese corporates integrate cultures in cross-border M&As? And how should they improve the culture integration capacity? To handle these problems, this paper conducts four studies based on the relative literatures.The first study is to analyze the "economy, culture, psychology" comprehensive contexts of Chinese corporates cross-border M&As. This paper puts forward an "Economy-Culture" analytical model of the cross-border M&As, based on the dimensions of economy and culture and the facets of nation and corporate and finds the cross-border M&As of Chinese corporates is in the context of "economic advantage" and "cultural disadvantage" at present. This specific context can easily arouse the western corporates’psychological resistance to Chinese corporates’culture integration with them. And this is the difference between the western and Chinese corporates’culture integration.The second study is to construct the Dao-oriented culture integration theoretical model. Based on the connotation and the generation mechanism of the Dao-oriented corporate culture’s perspective, this paper summarizes seven characteristics of Dao-oriented culture. Combined with Taoist philosophy, this paper refines the basic principles and the theoretical model of Dao-oriented culture integration, which is used to solve the western corporates’psychological resistance to Chinese corporates’ culture integration.The third study is to summarize eight influence factors on Chinese corporates culture integration in cross-border M&As from the data of five cases of Chinese corporates combined with western corporates (including three successful and two failed cases). From this eight kinds of influence factors, this paper constructs the "Courtship, Marriage, and Birth" CMB culture integrative model of Chinese corporates’culture integration in M&As, based on the the Dao-oriented culture integration theoretical model. Its integrative mechanism includes three phases, including "courtship"-acquainting each other and identifying the mutual need in pre-acquisition,"marriage"-ascertaining the superior parts of both corporate cultures and forming the new shared corporate culture script,"birth"-carrying out the shared corporate culture by rules and regulations. The research shows that CMB model is more suitable than other models for the Chinese corporates to culturally integrate with western corporates in the developed countries.The fourth study is to construct the Chinese corporates’culture integration capacity system, including ten kinds of culture integration capacity from the eight influence factors in the third study, and gives the corresponding suggestions for the Chinese corporates’ culture integration capability improvement.
