The thesis consists of three parts: preface, main body and conclusion. The main body is divided into three chapters. The preface includes the reasons and significance that I choice this thesis, the procedure of composing, the sources of data, the method of studying and acknowledgement. The first chapter is summary on venture capital fund, which is the basic point of the thesis. This chapter is divided into two sections. One is the summary of the investment fund, and the other is the conception and the forms of the venture capital fund. The contents of the first section contain a group of conceptions such as fund, investment, investment fund and its characteristic, also with the distinction of conceptions between the investment fund and the likes. This section is the base of analyzing the conception of venture capital fund. The second section firstly analyzing the conception of venture, venture capital and venture capital fund, then the connotation of forms of the venture capital and the factors affecting the choice of the forms of the venture capital fund. The second chapter is study on venture capital fund in corporation form. The corporation is the chief form for the venture capital fund in the world. This chapter contains four sections. The first is the choice of venture capital among the styles of the corporation. After analyzing the cases in common law nations and civil law ones, the writer try to find the reasons and get some enlightenment, hoping to do some help for our country抯 legislation. The second is the analysis of legal relations between parties. In this section, the legal relations between the fund and the custodian and that between the fund and the manager are stated specifically and concretely. The third is the governance structure of the venture capital fund. In the section, the status and duties of board of shareholders and the directors, especially the independent director system, are specified. The fourth is the legislative perfection in our country on venture capital fund in corporation style. The concrete suggestions are put forward on some aspects such as corporation抯 foundation, capital system, independent director, investment style, corporation finance, period of corporation, stimulate system and etc. The third chapter is study on venture capital fund in limited partnership. This chapter center on the American law because the venture capital fund in limited partnership is most developed in the United State. The chapter consists of two sections. The first section is the history and comments of the venture capital fund in limited partnership. The second section is the. exploration on adopting limited partnership as the form of venture capital in our country. The conclusion is the main idea of this thesis. In order to develop our country抯 venture capital, the form of venture capital fund need to be established and perfected in legislation. Concretely speaking, as far as venture capital fund in corporation style is concerned, it should not only be affirmed in investment fund law in draft but also be perfected in the going corporation law. As far as venture capital fund in limited partnership style is concerned, in view of its lack in valid partnership enterprise law, the writer suggested amending the partnership enterprise law and adding the provision on limited partnership and admitting the corporation as the partner.
