The research in this thesis is based on the interest-theory. In addition to interest-theory, several other relevant theories or methods of economics and management are applied to the analysis in the paper, such as game theory, incomplete information theory in information economics, principal-agent theory, transaction cost theory, property right theory, institutional change theory etc. It is the difficulties and problems during the courses of SOE reform that the thesis focuses on. Different interests' tropism of each interest-subject, differences, contradictions and conflicts in interest among different subject as well as their deep-seated courses during the SOE reform process, namely, financing-invest operation, the process of reorganization of corporate system and IPO, the debt-to-equity swap, merger and bankrupt operation, are analyzed intensively from the aspect of interests. Based on the above analysis, some policies recommendations as to how to set up interest-coordination mechanism in the process of SOE reform are put forward finally.There are ten chapters altogether in this thesis. The introduction is in the chapter one. In this chapter, we can see the explanation of background, aim and significance of the study in this thesis. In the meanwhile, the management-mode as well as the reform practice of SOE at home and abroad is explicated in this part, and the trends of research about the above subjects are mentioned too. In the second chapter, the background of SOE reform since 1978 as well as the main measures in different reform stage, implement results and existing problems during different reform phases are generalized in a chart. Then, the thesis centers on the overall evaluation and analysis on the whole course of SOE reform practice, using theories and methods such as modern firm theory, transaction cost theory, macroeconomics etc. In the third chapter of the thesis, concepts such as interests, interests' relationship, interests' tropism and interests' conflict are introduced firstly, and then an institutional analysis framework of interests' relationship between government and enterprises in the course of SOE reform is set up, based on the institution economics and interest-theory. Afterwards analysis revolves around the type of interests' relationship between government and enterprises, the evaluative route of the interests' relationship, the occurrences of interests' conflicts and their evaluative trends during the course of SOE reform practice. From chapter 4 to chapter 8, interests' tropism of each interests' subject, interests' conflicts between government and enterprises and the causes ofconflicts in different operation course of SOE reform policy such as financing-invest operation, the process of reorganization of corporate system and IPO, the debt-to-equity swap, merger and bankrupt operation are expatiated intensively. From the analysis of the above five chapters, some policies recommendations about how to set up interest-coordination mechanism in the process of SOE reform are put forward in the chapter 9. Chapter 10 summarizes the research of the whole thesis.The characteristics of this thesis are mainly embodied in four aspects: firstly, interests-theory is the fundamental theory in the thesis. Interest-relationship between government and enterprises in the process of SOE reform is analyzed on the basis of interest-theory. Secondly, as to the contents of the research in this paper, I had a intensively analysis on the different interest tropism of government and enterprises, as well as on the deep-seated reason and the illustration of interests' conflicts between them during the courses such as the financing-invest operation, the process of reorganization of corporate system and IPO, the debt-to- equity swap, merger and bankrupt operation. Thirdly, as to the methods of research, I applied game theory, principal-agency theory, transaction cost theory, institutional change theory and information economics to the intensive analysis on the interest-relationship during the course of SOE reform.
