With the university becoming the social center, design and operation of the higher education system has become the focus of domestic and foreign scholars’ research. University of relying on modern contemporary economic base has many common features,international perspective will help to stimulate thinking, more reference. Looking back over the past hundred years, in the field of higher education, the 20th century was the American century:replace Germany as the world university model, has the world’s highest tertiary education, pluralism features flourishing, American academic competitiveness and authority in the world today is still undisputed. From a macro perspective of institutional ethics, with the systems analysis of the American higher education institutional ethics, multidimensional system with a higher ethical values to break the traditional onedimensional analysis to examine the relationship between the value of diversity in higher education institutional ethics and complementary and balanced this enables it a better understanding of the advantages of the American higher education system and its shortcomings, drawing on our higher education system also has important theoretical and practical significance."What the great learning teaches, is to illustrate illustrious virtue; to renovate the people; and to rest in the highest excellence. "Perhaps human perfection is the highest value for university system to pursue, then what is good system of higher education? As Wu Da guang said, "The purpose of studying the higher education institutional ethics, according to analyze ethical issues by the evolution of the higher education system in a variety of game implication, trying to find the reason for the higher education system today problematic crux loss and carry forward the spirit of the University at the same time, "with the vigorous development and into the popular stage of China’s higher education, the higher education system itself, but rationality and legality is challenged, it is a system of ethics problems. The study has drew the conclusions:rationality, efficiency, justice is the Chinese and American higher education institutions ethics in common; "heavy emotion" and "rerational," "centralization" and "decentralization", "dependent" and "freedom.", "State as the core tool for good" and "good personal as the core purpose" is the differences between Chinese and American higher education institutions ethical.5. Thus perfecting Chinese higher education system, we must promote Chinese ethical personality (emphasis on humanist emotion, attention holism countries) and learn about American superiority Common Experience (freedom, democracy, justice as the primary society ethic); China and the U.S. higher education system and the integration of ethical mutual satisfaction can innovate and promote the realization diverse balance.
