In past more than thirty years, with the pace of china’s economic restructuring and development, the state-owned enterprises (SOE) have achieved great achievements. Espcially, SOEs have played an irreplaceable role in sustaining the whole national economy, influencing powerfully with the market and taking the lead in constructing the innovative country.The fact fully concludes in a few words: China’s practice on SOEs’ reform and management innovation are successful.Consequently, keeping a foothold on the background of economic restructuring to study the SOEs’ management innovation is not only of great practical significance, but also of theoretical significance. Foreign scholars have think highlu and speak highly of china’s business management study.They harbored potential expectation on possible new findings from china’s business management study.Mr. Drucker once said Pro. Zhao, Shuming:China’s economic reform and business management practice put it over, so there must be much to be summed up. Practice always runs ahead of theory.the only way to know china’s business management is to put their practice under reading glass.This is why I once went to Japan to study how they management.These words make it clear that only by deeply investigation on China’s enterprises’ management practice and finding the key problem can make valueable contribution.This research is led by historical materialism and dialectical materialism, besed on system theory as epistemology and methodology, integrately apply methodologies of economics、management and history to study the charicteristics、dynamic machenism of SOEs’ management innovation as well as the development charicteristics.Apart from this, this research puts restructuring background,SOEs’ reform policies、market factors and international competition into consideration.To better address the key problems, this article constructs multi-step and multi-dimension analyse normal form as the work frame.We choose the Large or medium-sized SOEs as our research object.we also choose the representive case of SOEs’ management innovation from different time as our research data.The main research way is case investigation.we have panoramically examine and card the SOEs innovation case in economic restructuring time.Based on this,this article employs deductive and inductive method、logical analysis、multivariate statistical analysis and system dynamics method and so on to adhere to our designed research technological path.We use the static analysis angle of view to study deeply and intensively the characteristic as well as dynamic mechanism of SOEs’ management innovations. Whereafter, we analyze four aspects as follows:the cause of management innovation, the object of management innovation, the guiding ideology of management innovation and the content of management innovation from the angle of dynamic analysis.This article finds that china’s SOEs management innovation activities always get prominent time context charicteristics.Macro-economical institutional feature、SOEs reform policy、market competition situation and the value orientation of SOEs reform can be thought not only as the determine factors of time context feature and management innovation’s property,but also as the promotion of management innovation’s development.Through the analysis of the factors above, we put forward the SOEs management innovation stages theory in economic restructuring time. There are three management innovation stages in past time:planning system-marketization management innovation (1981-1991), marketization management innovation (1992-2001) and marketization deepen innovation (2002-), which is consistent with the economic restructuring time’s divide.Through detailed research, this article opens out and discusses the formation of SOEs’ management innovation’s object in the restructuring time. On the viewpoint of the same characteristics between management innovation’s formation and object, the outside environment set and innovative mainbody’s individuality are important factors,which include economic institution、SOEs’ reform、business management level and operation situation and so on. All these factors make up of the necessary conditions when we find the optimal choice out of choise set.However, SOEs’ development groundwork and precondition as well as future plans are the control condition.Due to the pluralism and flexibility of management innovation set and variability of SOEs development level and outside environment, the innovation maindodys share some situation characteristics and differ from each other in some ones.so elelments of SOEs’ innovation object set possess dynamic feature. There are high correlations between innavation’s cause、object and content. In a restructuring time cycle view, this kind of correlations has evlved from unitary linear relations to multiple regression relations, which shows how their relations vary from restructuring time.When it refers to nonlinear relations between three ones, there must be a forward effecting cycle path from cause to object and then to content. When innovative mainbodies fulfill the preconditions of management innovaiton, they will follow the path mentioned obove to shape the ultimate object and content of the management innovation.consequently, a pratical management innovation action turns out.What kind of guiding ideology there should be in SOEs management innovation? This question gets enough attention in this article.by introduce in two variables as below:economic restructuring and market factors, we analyze the correlations between these two variables and the SOEs management innovation. On this base, we study the history of the management innovation and summarize and refine the formating mechanisms and the developing features of the guiding ideology.So we put forward that a successful enterprise definitely owns a right、advanced and innovative ideology. In other words,onward、decisive and advanced guiding ideology make sure the success of management innovation. The detailed content of management innovation is determined by the development level and situation feature, which is embodied in the content. There two management innovations in the restructuring time:market operation and capital operation, which take a great leap in SOEs management innovation.much more than this, this leap indicates the whole new property of management innovation.if we try to explain this,we find the reasons are economic restructure deepening and the fiercer market competition. In a further sight, continuous reform of SOEs、decreasing in stock share、management process restructure based on customer、operation model innovation and technology progress should be paid more attention to fix.As the framework depicted above, the management innovation’s driving mechanism is our important part.Our results show that innovation driving mechanism is the fruit of the special restructuring time. SOEs’ management innovation system feature regulates the mechanism and its operation. Since the beginning of economic restructuring, there are there different driving mechanisms of unique property in different stages:government control driving mechanism、nearly compulsory driving mechanism and environment power driving mechanism. It is obvious that government attendance slowly clear away and environment power outside of enterprise increase and replace of government in this area at last,which depicts whole feature of mechanism’s development and movement. When it came to restructuring deepening time,a mature mechanism shaped and was characterized by self-organized、self-driven、and resultant forced, which composed of a recent mechanism feature.In addition, SOEs’ self-encouragement and self-driven power have always increased. SOEs occupy a central and based position and play a core role in china’s enterprises, which can be explained as the result of reform deepening and intensive competitions. Due to mechanism, the feature of SOEs management innovation actions changed respectively: from policy responding management innovations to consciousness initiative management innovation then to self-determination initiative management innovation.the path depicted above can be concluded as the SOEs’ innovation active features.so we argue that SOEs are maindodies of China’s management innovations, and mechanism of innovation are important indemnity of continuous and onward management innovation.deepening SOEs’ reform and regulating the market’s order are the origin of force of policies, which are planning to promote the management innovation in future.We argue that management innovation activities are of discipline. To concentrate on the main points, we put forward the arguments for portray the discipline as follows: firstly, a correct or to say accurate guiding ideology ensure a successful management innovation; secondly, it is critical to diagnose the path node of the management innovation; thirdly, it is preconditioned for a successful management innovation activity that the managers of enterprises, especially SOEs, should organize and operate the company well; last but not least,a innovative culture environment and scientific management design organization’s system are indispensable and important indemnity.Whereas China’s marketization has arrived at a relatively mature stage, SOEs’ corporate property gets redicated and so this article’s main contribution will be helpful and instructional for China’s corporate research and management innovation.
