In the recent years, the academic circles pay more attention to the 'intangible cultural heritage'. As a cultural living fossil, the intangible cultural heritage reflects the cultural characteristics of balancing social ecology, takes on the major mission of 'the depository and collective memory of peoples'. It can ensure the survival of distinctive cultural characteristics. What's more, the oral and intangible heritage has become internationally recognized as a vital factor for cultural identity, the promotion of creativity and the preservation of cultural diversity. So it has the outstanding universal value for the living and development of humanity. Above is one hand. On the other hand, living culture whose inheritance depends on oral instruction is frangible. It is incapable of defending itself when suffering from constructive destruction, protective destruction and developing destruction, and its rare species are at risk. Accordingly, in order to protect humanity's spiritual home and make it perpetuate, 'Safeguarding' means measures aimed at ensuring the viability of the intangible cultural heritage, including the identification, ocumentation, esearch, reservation, rotection, romotion, ransmission, articularly through formal and informal education, well as the revitalization of the various aspects of such heritage.Intangible culture heritage is the living fossil demonstrating the diversity of the culture. Protecting intangible culture heritage is a heavy burden and the road is long. This paper has discussed the basic problems such as definition, classification, protection and utilization on the view of tourism resource. As a metropolis, Shanghai is also rich in intangible cultural heritage. Its circumstance is similar to the other places. Thanks to its characteristics, it can be used with the tourism industry. This research has pointed out 4 ways: museum, festival, commodity, show. In the end, this article points out principles and other aspects.The conclusion is it is necessary for us to take effective measures to protect intangible culture heritage which shoulders the 'collective memory'. Protection is the main task and usage has to choose the proper way which means the social ecology can reach the balance point, so we can hand the precious intangible culture heritage in the full richness of their authenticity for future generations.
