The theory of firms is always an important aspect of modern economics. Since Ronald Coase issued the n 1937,the theory of firms was set up. The transaction-based theory of firms has acquired great evolvement; it has become the mainstream of theory of firms. However, there is a new theory of firms in the aperture of mainstream theory of firms that attracted more and more attention of people. It is knowledge-based theory of firms. Especially this theory has come into being its rudiment in recent years, it was also used to analyze the quality and pulluation of firms with other mainstream theory of firms. The theory of firms becomes luxuriant theoretics headspring of modern administrant theory. In 21centry,knowledeg management becomes the research hotspot of management specialists. The management of knowledge worker becomes the emphases of HRM. The paper discusses how to manage and inspirit knowledge workers in knowledge enterprises.Since Coase issued the theory of firms, the research emphases of it is transaction-based theory of firms, the contractual theory ,agent theory and incomplete contractual theory of firms which are related with it .These theories emphasize that the firms' competent advantage is exogenous, and they explain the inherent rationality of existence of firms, which represented as the S-C-P model and the competent strategy theory of Machel Porter.However, the reality is that these theories cannot explain such phenomena as the heterogeneity of firms; the competent advantage is endogenesis etc. So theorists of firms have to find answers from the theory of management especially form the theory of strategic management, knowledge-based theory of firms is set up.The main thoughts of knowledge-based theory of firms come of labor-division-based production theory of classical economics; it also absorbed the research fruits of edged economic theories such as strategically management, technological research or system evolution etc.The core content of knowledge-based theory includes the quality of firms, the boundary of firms, the interior collocation of the right of decision-making and the coordination inside firms. The knowledge-based theory of firms think that enterprises are a kind of economic organization that can meet the team collaboration, the boundary of enterprises is determined by the relative employ ratio of knowledge not by the transaction cost. Because of the difference of the knowledge held by enterprises, the core competency formed during the production is different too, so enterprises are different, it is to say, they have heterogeneity. The right of decision-making is acquired through the shareholder and directorate authorizes downside and employees accredit upside. The manner of decision-making is chosen by the property of knowledge, decision-made based explicit knowledge can be decentralization, decision-made based tacit knowledge can be centralization. The enterprise should provide a mechanism, which can make the knowledge pool, intercommunion and innovation. The knowledge worker means employees who create more value by intelligence than by physical force in a enterprise. Their characters of personality are: they have strong consciousness of self-determination, independent valuation, strong desire of flowage, strong inspirit and capacity of innovation and willing to study new knowledge. Their work characters are; their work have creationality, uncertainty, the achievements of work are difficult to measure, the devotion of work has risk.Because of these characters of knowledge worker, the management o them is different .it mainly manifest as following:The manage ideology should be flexible, that is, it should emphasize "people", implement dispersed management; supply a relax circumstance for employees; implement elasticit work system; pay attention to employees' sensation, give them domestically conciliation.The corporation administer structure should emphasize employees to participate in management, the arrangement of its propriet...
