The advance of Modern information technology and appearance of e-business, creates condition for global economic integration, promotes development of logistics. In the middle of 1990s, the concept of TPL (third party logistics) spread into China, and gained attention from every field. Developing through these several years, TPL began to hold the scale already in China, and showed the tendency of continuous development.Starting from national condition, this paper studies the competition behavior of TPL enterprises, by introducing the game theory model, based on analysis of demand structure, supply structure and competition structure of TPL market respectively, This study aims to provide theoretical foundation and directive function for competition and market positioning of TPL enterprise.The TPL of China possess much smaller share in whole logistics market, but the annual increase rate is relatively higher, the potential of market is great. From the view of the demand of the TPL service, it can be assumed that the pressure of the socialization of enterprise logistics serve has come to shaft. The need for TPL is increasing continuously.The service range of TPL in China is mainly basic logistics service like transport, warehouse etc. Little effective support is provided to new service like logistics system design, logistics information management etc. Other service of added value is still in the stage of development and perfection.Since China's entrance into WTO, the competition pattern of TPL has changed with the coming of large logistics enterprises from other countries. TPL enterprises of our country should make a correct assessment of situation, using the resource advantage, reasonably fix market position, make development strategy, and develop international enterprises, which have core competition power.
