With the three items of institutional reform implemented at Dongan Co. as the studying subject, this case introduces the internal and external circumstance and the institutional bewilderment faced by the company before reformation, and describes the specific reform content and changes resulted from the reform. Detailed description has been given to the reforming measures for cadre personnel system, distribution system and labor system. This case emphasizes the importance of innovative reformation and talent resource strategy to the survival and development of state owned enterprise (SOE) and reveals that it is necessary for SOE to take unconventional measures during constitutional reforming to solve the unavoidable contradiction caused by the old internal system. The key work for the SOE is to complete the systems, rule by laws instead of individuals, and inspire the labor by proper system.After China's entering into the WTO, how the soes to take part in all kinds of worldwise competitions actively and thereby gain survival and derelopment is an important question for study that every SOE must consider deeply. This is a typical case that reveals how the SOE to solve the predominant internal contradiction, and can also be used for reference by other SOEs.
