In the world nowadays, The competition between the enterprises is the competition between human resources in essence. now, Many of our state-owned enterprises were over-staffed, many years the enterprises have accumulated a lot of surplus workers. Hence ,The enterprises lacked energy and efficiency. And lots of high-ability people have been turnover . According to the situation, This paper will study the staff's exploitation , acquisition ,motivation, with realistic significance . If the staff 's energy can't be motivated , the efficient mechanism wouldn't be established . Therefore, The high-ability people couldn't be acquired and maintained . Firstly, this paper has summarized the motivation theory related to the personality, including theory X, theory Y, theory of hierarchy of needs, theory of property rights motivation, human capital theory, informational asymmetric and economic motivation theory, etc. Secondly, has analyzed the concept of high-ability human capital , also analyzed the value of high-ability human capital in enterprises in view of resource, competence, and learning. Due to the characteristic of human capital scarcity ,non-imitation, non-replacement, it becomes the core competence of enterprises. Demand planning of high-ability human capital is the first step, then perform staff recruit properly, the good acquisition mechanism is very important. In order to maintain high-ability people ,in case person and company benefits both may be maximized, not only economic motivation but also non-economic motivation should both be applied. All motivation should be personalized ,stock options has been widely focused among economic motivation.Thirdly, has analyzed the over-staffed situation and discussed the reason in which improper control of recruit quantity and quality, and no establishment of staff dismiss are the main elements, also has raised solution. Finally, has analyzed the human capital management system of one specific company W, and has supposed the solution to improve this company human capital management system.
