Supervisor: Vice-Professor Zhang Xue-mei.Most of the agricultural research institutes and academies at provincial level in China were established by the People's Governments at different levels, Since 1980's, for further reform of science & technology system, many economic entities have been established. How to improve the efficiency of management, especially the internal management structure of public economic entities is a serious and difficult problem being faced by each agricultural research institute under market-oriented economy. Take Guangxi Academy of Agricultural Sciences (GXAAS) as a case, the paper investigated and analyzed the existing problems and restricted factors of different internal management structure models of all economic entities of GXAAS, and then selected different models by comparison study. According to the Enterprises Law of the State and fact condition of every provincial academy of agricultural sciences, some suggestions could be given for the reform of academies of agricultural sciences transferring-corporation system.The paper includes five chapters: Chapter One is foreword part which mainly discusses the study background and meaning, and progress made in and outside China. Chapter Two is general situation of study region, quantity, character and internal management structure models of its economic entities at GXAAS. Chapter Three is comparison study on the internal management structure of two types of economic entities at GXAAS, to find their similarities and differences. Chapter Four & Five are main conclusions and policy suggestions. Case analysis, individual interview, questionnaire, secondhand data collection, etc. combined with measures and systems analysis, comparative analysis, qualitative and quantitative analysis have been used for the studyMain conclusion is that all economic entities of GXAAS had been divided into two types, limited company and state-owned ones. Similarities and difference were existed in the two types of internal management structures. The limited companies have healthy internal management structure, stockholder committee, the board of directors and supervision board, but have non-criterion activities in actual running. The state-owned entities have no these mechanisms, and only adopt the management model of public institution. Based on the above analysis, the problems and influencing factors of management structure inside the economic entities of provincial academies of agricultural sciences are: 1, The major problems are: 1) the stockholder committee can not control the board of directors; 2)Lack of efficient monitoring to the directors; 3) the supervision board has no enough power tosupervise all concerned activities of the board of directors. 2, The factors influencing internal management structures are as following: 1) system; 2) developingdirection of the firms; 3) composition of stockholder right; 4) setting of the board of directors; 5)relationship of property right.Based on the above analysis, the author has made suggestions for the existing economic entities: 1) Redefining the property rights, resetting the composition of stockholder rights and forming multi-stockholder rights; 2) Regulating and constructing a healthy management mechanisms of firms, ensuring effective supervision. 3) Asking for favorable policies from the government to the firms and their juridical persons to establish a better management structure models in order that the economic entities can be divided from the mother entities and to promote their further development at provincial academies of agricultural sciences in the country.
