Like the reform of state-owned enterprises and reform of government, the institutions restructuring play an important role in the reform of socialism market economic system. With the development of the society and deepening of reform, especially improvement of socialism market economic system, old system and mechanism of institutions influenced by traditional planning economy hasn't adapted to requirement of times. The old personnel mechanism lost incentive function and display its limitation. Therefore, the restructuring institutions urgently need to build modern personnel incentive mechanism that is adapted and suitable and suitable to them.As the core of the reform of institution restructuring, designing a fair and effective personnel incentive mechanism will inspire the member of institution restructuring which is the need of the reform of our nation. Effective personnel incentive mechanism is the aim and the means of the reform of institution restructuring. Through deeply and detail investigation, reference the experience of western nations, analysis and study of restructuring institution's human resources, the author puts forward the theory and example analysis of human incentive mechanism of institutions restructuring.
