With the unceasing reform of higher education in our country, the adjustment on internal governance structure in colleges and universities, the solution to the division and balance of powers in the development of colleges and universities,becomes a hot spot in the academic circle. The governance structure may be regarded as a means to achieve the governance used to coordinate the relations among the organization decision-making, the execution, the surveillance and the benefit-related parties. It is used to guarantee the social credit standing and the healthy development as well as the long-term success.The essential factor of the internal governance in colleges and universities mainly includes the governance subject, the governance object, the governance means and the mechanism. Essentially speaking, internal governance structure in colleges and universities is a kind of internal institution arrangements, a contractual relationship, or an effective operational mechanism.First, this article has carried on the analysis theoretical basis to the internal governance structure in colleges and universities, holding the idea that the theoretical basis should include the corporate governance theory, principle-agent theory, stakeholder theory as well as resource dependence theory. The corporate governance theory suits to the research on the features of the non-beneficial legal person of colleges and universities.The principle-agent theory suits to the analysis to the relations between management and owners. The stakeholder theory is suitable to improve the participation of benefit-related parties in organizational governance and to coordinate the balance among them. The resource dependence theory is good for revealing that the university organization belongs to obvious resource-dependent organization, and to derive resources, the university needs to have a stricter governance structure compared with enterprises.Based on above, this article inspected present situation of internal governance structure in colleges and universities in our country, thought that there were problems in internal governance structure in colleges and universities, such as the contradiction between administration authority and the academic authority, the sanction of other benefit-related parties, the problem of university agents and the internal balance and drive in universities. Resorting to experience of internal governance structure in foreign colleges and universities, the article suggested that internal governance structure should keep pace with the times, the benefit-related parties should join in the public universities management, in order to construct a scientific internal governance structure based on the national situation and promotes the management reform in universities.Based on the inspection to the present situation of internal governance structure in colleges and universities, this article has carried on a theoretical discussion to the internal governance structure in colleges and universities, thinking that the key point lies in the straightening out authority relations on the internal governance structure in colleges and universities, such as the separation of administrative authority from the academic authority, the proper descending and dispersion of authority center; the increasing possibilities of achieving an equilibrium point of bidirectional principal-agent relation will greatly raise the efficiency and the benefit of university governance ; the basic analysis of university internal governance structure efficiency should start from the analysis of internal governance subject dimension; the university should emphasize on the solution to the division of administration and academy, the separation of administration and ownership, making the government easier fulfill its responsibility and realizing the inflation-proofing and appreciation of state-owned higher-education property, causing the university to construct a scientific internal governance structure and becoming an independent school entity in the true sense.Finally, this article proposed the optimized strategy of internal governance structure in colleges and universities, thinking that the principal aspect of optimizing internal governance structure in colleges and universities is to construct institute first-level participation governance pattern, to strengthen the decision-making mechanism of university units, and to construct the decentralization organization pattern and the scientific university corporate governance structure.
