Research On The Problems And Countermeasures Of Corporate Governance Structure In Private Colleges And Universities

In recent years,private colleges and universities,as an important part of China's higher education system,have enjoyed particularly rapid development momentum.However,at present,the contradictory conflicts between commonweal and for-profit exist in the privately owned colleges and universities in China because of the dilemma between schools in cultivating and protecting their profits,which causes the privately-run colleges and universities to face many times and again Governance dilemma.Based on this background,based on the relevant theories,this paper analyzes the specific problems existing in the governance of private colleges and universities.By summarizing the experiences of private universities in our country and abroad,it selectively quotes some of the experiences,Private colleges to conduct a detailed analysis of the case,that the construction of a sound corporate governance structure of private colleges and universities is to realize the commonweal and for-profit colleges and universities to unify the fundamental solution path,but also improve the quality of private universities in China's teaching premise and foundation.This research focuses on the combination of theoretical research and case studies.First,based on stakeholder theory,principal-agent theory and legal person theory,this dissertation summarizes the current corporate governance models of private universities in China from different perspectives and dimensions.Secondly,by combing the current situation of private colleges and universities in our country,it is found that private colleges and universities universally exist in the actual operation of the power control by the organizers,monopoly or even the status quo,which led to private universities appear familial tendencies,internal management authority caused by unknown department conflicts,Lack of participation of stakeholders,lack of supervision mechanism and other issues.Therefore,the unclear attribute of the legal personality of private universities,the imperfect property rights system and the unclear relationship between the rights and responsibilities of stakeholders are the main causes of this series of problems.Thirdly,combing the experiences of the private colleges and universities in the United States,Japan and Germany on the property rights system,the subject relation,the operating mechanism and the supervising mechanism.At the same time,taking the X college in Guangdong Province as an example,this paper clarifies the internal governance structure model of X College The existence of property rights is unknown,the agency is not perfect and other issues put forward suggestions.Finally,from three aspects of external system construction,board structure and supervision mechanism,the countermeasures are put forward as follows: First,it is urgent to clarify the legal person property,the legal person property rights and the incentive mechanism of talents in private universities;secondly,the key point is to strengthen the construction and perfection of party organizations in private universities Third,it is necessary to improve and perfect the internal supervisory board of private universities,improve the audit committee system,and promote the composition of the external oversight mechanism to achieve the limited supervision of the fit between the inside and outside the country.
