Further reform of higher education and emergence of new-style universities and colleges,which provide some valuable experience for the transformation of high education in China. Thethird sector colleges and universities, according to the three sectors theory, have the features ofpublic, autonomy, non-profitability. This study analyzes the status quo, problems and raises therelevant optimizing strategy on the base of this case study.First of all, this study states the research status and theoretical basis of internal governancestructure of the third sector colleges and universities. Then it analyzes the governance structure ofsame type universities overseas and some enlightenment from it. Finally, this paper analyzes thestatus quo and difficulties of the third sector colleges and universities in our country, and putforward the relevant optimizing strategies by researching on the inner governance structure ofZhejiang Wanli University.This paper focus on the inner governance structure of China through studying on the case ofZhejiang Wanli University, which mainly concentrate on its school management theories andeducational philosophy that including the goal of schooling, the rule for school management;organizational structure including the board structure of the third sector colleges and universities,the administrative structure and the set of control mechanism; operational mechanism includingpersonnel management mechanism, financial management mechanism and transactionmanagement mechanism.Through the study of new-type college and university’s inner governance structure, the paperobtain a result that inner governance structure is not perfect, and also the problem of entrust-act isexisting. The board structure is faultiness, at the same time the restriction and encouragementmechanism are unsound. Furthermore, the inner management of social participation is insufficient.Therefore, some strategies should be put forward, such as, introducing the inner operatingmechanism of mercerization, improving the restriction mechanism and encouragement mechanism,forming the separation of power at the core of two-layer management and setting the managementsystem of the participation of stakeholders.
