After thirty years of reform and development, now, every aspect of Chinese social life has been touched, and the global strategy of opening to the outside world has made China integrate with the tide of world integration together. China's social transformation has become an irreversible fait accompli, profound changes are undergoing at each stage of the transition from old to new, new things are emerging, and the defects of old things are appearing. The universities in China, as an important part of higher education system, also have found many problems in its internal management structure during the course of social transformation. It has become a real problem which the University is facing, that how to optimize internal management structure in the University to adapt to the transformation of our society in order to keep up with the times.The core of governance is the transference and redistribution of power. The rise of the theory of governance provides a theoretical basis and real references for building the internal governance structure in a university. This article is divided into four parts, and it is going to give a tentative study on the question of internal governance structure in a university. The first part is going to review the previous researches, and give reasonable definitions to some relevant concepts. The second part introduces the relevant theoretical basis of internal management structure in universities, the theory of interests to relating people, commission agent theory and artificial person theory; to provide theoretical basis for the theory of internal governance structure in university. The third part, which firstly introduces the evolution of the internal governance structure in the universities our country; and then describes the status quo of the internal governance structure in China's universities, finally analyzes the problems of the internal governance structure: the imbalance among leadership, implementation and monitoring, the imbalance between academic power and administrative power, lack of students' power, the imbalance of college departments setting and less autonomy of them; and finally discusses the causes of these problems in the internal management structure. The fourth part treats the United States, Germany and Japan as examples, introduces the internal management structure changes of the western universities, their internal management structure and the status quo mode of powers, as well as the inspiration and reference to the internal governance structure of the universities in China. The fifth part, by combining the reality of our country, gives a countermeasure research to the construction of internal governance structure in the universities of China.
