The legislation of restructuring and exit mechanism for private colleges and universities is an important aspect of Private Education legislation, it resolved the export problem of private colleges and universities. By solving the export problem of private colleges and universities, can we promote the entry of private investment in education, dispel the concerns of private capital, smooth the flowing way of private capital in the field of education. A good legislation work of restructuring and exit mechanisms for private colleges and universities is not only the need of developing private education, but also the urgent requirements for carrying out the legislative tenet of "Private Education Promotion Law" .However, there are quite a few weakness on theoretical and practical study of the legislation of restructuring and exit mechanism for private colleges and universities. Therefore, it is necessary to study it further.In this paper, the author used the historical methods, comparative methods, economic analysis methods and so on. This paper discusses the basic theories of the legislation of restructuring and exit mechanism for private colleges and universities, and points out the lack of the legislation of restructuring and exit mechanisms for China's private colleges and universities, at the same time, combining with the analysis of legislative practice for "Private Education Promotion Law" and the relevant existing legal system, made out of the legislative proposals of restructuring and exit mechanism for China's private colleges and universities, in order to promote the legislation of restructuring and exit mechanism for China's private colleges and universities.
