Research On M & A Risk And Preventing Measures Of Chinese Enterprises

Under the condition of marketing economy, M&A, as a form of enterprises'growth, brings opportunity and profit to enterprise, also contains great risk. It can be found through previous research, which only a few companies have achieved success through mergers and acquisitions, but most cases of mergers and acquisitions is a failure to understand. Therefore, the M&A risk identification, assessment and preventive measures, is critical for policy makers. For this reason, this dissertation combine M&A risk-related theories, in the systemic analysis of the M&A risk identification, assessment and prevention, hoping provide reference for business managers and decision makers.In this dissertation, through the study of relevant literature in China and abroad at first, to understand the status of M&A risk research, and comparative analyzing the problems of Chinese enterprises'M&A risk management. Then conduct a comprehensive analysis of the relevant theory of M&A, and makes theoretical basis more systematic analysis of the M&A risks and mergers and acquisitions.On this basis, this dissertation describes the acquisition of the basic principles of risk identification, from the qualitative analysis perspective, the objects and methods of Chinese enterprises'M&A risk identification are further studied. Then, from the perspective of quantitative analysis, it uses AHP combine with fuzzy evaluation method to make a comprehensive assessment of the risks of mergers and acquisitions. In addition, the different stages of M&A, a more comprehensive summary of the different segments of the risk prevention measures to be taken.Combination of the above analysis, this dissertation concludes by XinHuZhongBao acquisition XinHuChuangYe case analysis, combining the theory studied and practice to achieve the purpose of theory guide practice. At the same time, case studies have inspired effect for risk identification and prevention in M&A of Chinese enterprises, thereby increasing M&A performance, promoting Chinese economic development.
