The separate of Technology and market economy is a very serious problem. The application of scientific and technological achievements conversion rate is low and does not meet market demand. Researchers are not stable, and the loss is severe. The main reason is some reformed institute does not follow the modern enterprise system. The corporate governance structure and operating mechanism is not perfect; Incentive and restraint is not enough; The lack of vitality restrict technological innovation and so on. The institute needs to match market economic and set the modern enterprise system for their own development. This is an effective way to solve these problems. However, due to restructuring of research institutes, compared with the general business has its particularity, such as a large amount of intangible assets and professional and technical personnel; the main business is scientific and technical services for and so on. Therefore, the restructuring of research institutes can't copy the general business practice to set a modern enterprise system. Institutes should design and implement based on the analysis according with their own actual situation.
