In recent years, Cross-border M&A is very popular in the world in recent years. The amount and the value of Cross-border M&A are always in a high level. In the domestic, more and more enterprises know the importance of M&A and take part in the process. Numerous enterprises choose Merger and Acquisition as the way to a nice future. There are many M$A actions, but some of them succeed and some failed finally. Investigations have shown there are many reasons for this, but the one main consists in Human Resources Integration making out not to be good.The goal of the M&A is to make the enterprise more powerful and have obviously advantages. For this reason, factually the two side of the M&A should not only focus on the integration of the strategies, capitals, finances, markets, patent, brand, but also on Human Resource Integration , when making M&A strategy and implement. The capital of enterprise is not only the evaluated tangible assets, the most valuable is the human resource capital. So, enterprise should make strategies relatively to realize the goal of M&A and make the staff from two enterprises taking part in the work actively.Through analyzing the tremendous influence of integration of human resources to M&A performance, this thesis systematically sums up the relevant theories of integration of human resources in M&A, analyses the existing problems of integration of human resources in M&A, and proposes countermeasure of integration of human resources in M&A finally.This text is divided into five parts altogether. The first part is a preface, introduces the aim and meaning of the research, present research conditions of domestic and overseas, the content, the methods and reformation of the research. The second part sums up the definition and theory about M&A on the basis of consulting formal document. The third part analyzes existing the problems of HRI. Further more, there are some methods about the problems. On the basic of the third part, countermeasures in the fourth parts are worked out to solve the problems facing M&A enterprises in HRI, including the principles, strategies, practice project and how to put it into practice. The fifth part is the last one ,which concludes the main viewpoints and lack of research.
