In the near years, in order to get the monopolization in one vocation, to get more advanced technology and more wide market, then get more performance benefit, whether in world wide or in a same country , whether between multinationals or companies in a same country, many companies go into Mergers & Acquisitions. Especially in today's China that we have opened and innovated for many years, many Chinese companies start to go into Mergers & Acquisitions.But in many Mergers & Acquisitions, we often ignore the enterprise culture syncretizing, although we pay more attention on the combination of tangible and immateriality assets. This effect the result of the Mergers & Acquisitions badly, even get the failure of the Mergers & Acquisitions.So studying the function of the enterprise culture's syncretizing in Mergers & Acquisitions, and studying how to utilize the enterprise culture's syncretizing to increase the succeeding of a Mergers & Acquisitions is meaningful. The thesis divides into five chapters to explain. In the part of introduction, introduce the meaning of studying the enterprise culture's syncretizing in Mergers & Acquisitions, discuss the relationship between Mergers & Acquisitions and the enterprise culture, and the importance of the enterprise culture in the Mergers & Acquisitions, and the research documents surveys of the enterprise culture. In the second part, introduce the theory of culture difference and the effection of the culture to the enterprise management and the major culture difference or conflict. In the third part, introduce the implement procession of Mergers & Acquisitions about culture syncretizing, the aim and the principle of Mergers & Acquisitions, and analysis the success or failure reason of Mergers & Acquisitions, bring forward that the culture difference must be syncretized, but not be substituted, the culture syncretizing is the key to success of Mergers & Acquisitions. In the forth part, introduce the process, principle, and the main mode of culture syncretizing in Mergers & Acquisitions, bring forward the method and suggestion of how to combine different culture. In the fifth part, introduce the course and the experience of the Mergers & Acquisitions of Desay industry company and Desay-Leiji micro-motor company in Desay Holdings where the author work in, educe the importance of the enterprise culture in the Mergers & Acquisitions, validate the importance of the enterprise culture in the Mergers & Acquisitions once more by introducing some typical case in the domestic and the world, conclude some successful experience and methods of Mergers & Acquisitions.
