This study mainly researched the some problems of medium and small-scaled corporations such as harm to the customers` right, the waste to the society source, the destroy the nature and disadvantage influence on the long-range development. From these we can understand the cause of formation of immorality management and sale problems as follow: right drive under market economy system, use advance technology under immorality management and sale, the negative affect of traditional and west management and sale idea, non-strict execute the law and morbidity law and the weakness keeping away consciousness of customers. Thereby it provided an actual gist for the management and sale morality system of medium and small-scaled corporations through home analysis.This project was directed according to the basic theories of ethnics, economics of corporation, and according to many kinds of analysis methods, e.g. management and sale cases and reference research etc., analyzed the current management and sale ethic actuality of our medium and small-scaled corporation, and discussed lots of problems, cause of formation and countermeasure. Compare and use for reference of east and west researches, expatiated on the basic criterion and put forward the content and implement route of medium and small-scaled corporations and put forward the content that the medium and small-scaled corporations should posses and realizing route.This study advanced the ethic criterion that the medium and small-scaled corporation should follow including: the principle of honesty and keep faith, the means of equity competition, the consciousness of society obligation, the route of efficiency saving and the action of ecology protect, moreover the corresponding realize approach should be advanced according to culture reason, politics system, human and culture surroundings, consume conception etc.. Finally build up an effective evaluate system of corporation management and sale morality, which make for the development of medium and small-scaled corporations in our country along a more science and reasonable way.
