In modern enterprises, human resources have become the most important resource, and as a leader in human resources, professional managers are the core of enterprise resources, to a certain extent, they determine the success or failure of an enterprise. In this way, it has become an important problem that how to establish effective professional managers incentive mechanism to promote enterprise development and mobilize working enthusiasm of professional managers.Modern business theory says that the relationship between enterprise owners and professional managers is the commission-agency relationship. In this relationship, because of the incomplete contract and the asymmetry of information, professional managers are likely to use their information advantage for their interests, harm the interests of enterprise owners and bring about huge losses to the enterprise. For the client, supervision cost of the agents is high, and incentive pay is the key factor for the validity of commission-agency relationship. At present, the incentive methods are mainly compensation incentives in our country's enterprises, and the corporate can choose better incentive methods only on the basis of knowing human capital value of professional managers. Therefore, human capital value assessment of professional managers has become hot and thorny issue in the constructing professional manager procession in our country.Based on this, this thesis considers unreasonable things of the existing professional manager compensation model, and combines the previous theoretical study results to design a professional manager compensation incentive mechanism based on the human capital value assessment. It reflects the true value of the professional managers, and based on the true value of professional managers, it combines with other contents (such as benefits, stock options, a comfortable working environment) to build a perfect, rich compensation incentive mechanism of the professional managers.
