The reform of State-owned Enterprises in China, which has been the focus of attention of scholars at home and abroad, is the most important area of China's economic system reform. The reform of State-owned Enterprises need both great theories and great practice. Scholars try to use a lot of theories to guide China's State-owned Enterprises reform, and the words"feeling the stone and traveling the river", point out the great significance of the practice.The reform of State-owned Enterprise in China has approached from delegating powers and benefits, contracting, leasing, establishing a modern enterprise system, and so on. These reforms largely enhanced the vitality of the State-owned enterprises, but they have not fundamentally been out of their predicament.At present, most economists believe that lack of clarity of property rights of State-owned Enterprises is the rootstock of their predicament. Therefore, in order to make State-owned Enterprises get rid of their predicament, we should touch on the core of the reforms of property rights----non-nationalization. This paper will start with the link and difference between the property rights and the ownership, and analyze that the current MBO reform is the change of ownership, rather than the declared reform of property rights. Straighten out this line of thought, we will try to explore the fundamental reason of the predicament of State-owned Enterprise——the burden of policy, regardless of the difference between government and State-owned Enterprises, capital and State-owned Enterprises. Furthermore, we will explore the dual functions of government: economic management function and operation of State-owned Enterprises function. Mixing of the two, makes State-owned Enterprises take a large number of social functions, increases the burden of State-owned Enterprises, then makes State-owned Enterprises be in trouble. This is the basis that we implement the classified State-owned Enterprises reform. So-called classified State-owned Enterprises reform refers to different reform programs in different markets. In detail, in natural monopoly industries, State-owned Enterprises are owned and operated by government, and have the characteristic of non-profit; in the competitive industries, State-owned Assets Management Committee, which is established under the jurisdiction of the National People's Congress, is charged of the selection of professional managers to manage State-owned Enterprises for the purpose of making profit. Finally, we will propose other supporting reform measures about classified State-owned Enterprises reform.
