Through over twenty years of reformation and opening to the outside world, our national economy has made rapid development. The development of our state-owned enterprise has made enormous contribution for the development of national economy. But, as the economic environment of our nation has gone through great changes, our state-owned economy has been in transformation period. It has become an emergency issue for our state-owned enterprise to survive and development through transformation in the new economic environment. Enterprise transformation has become the norm, it's the basis of our state-owned enterprise establish the competitive advantages, it's the foundation for the evergreen.In the process of reform in our country, state-owned enterprises have realized the transformation of structure, ownership system and operation, but the culture revolutions, which accompany enterprise transformation, have not complete. New enterprise culture systems haven't set up, the old idea still influence the behavior of enterprise, and it has become history inertia. This reality, possibly become a barrier which prevent state-owned enterprise develop healthily. Therefore, the essence of enterprise transformation should push culture transformation. It can strengthen the competence and the vitality of enterprise.This paper explains the relationship between the enterprise transformation and the culture transformation basis on the domestic and foreign research results. Analyze the traditional culture characteristics and inertia in the planned economic system, get conclusion that enterprise transformation should start with culture, by this way, it can arrive the aim and expectation of transformation, establish modern enterprise system. Then I research on the direction and breakthrough of state-owned enterprise transformation under the market economic system. At last, the paper analyzes the challenge and chance during the state-owned enterprise transformation, put forward the idea of enterprise culture re-engineer from the macro level and micro level.
