The shareholding system reform and the Construction of modern property right system is a systematic and complex work for state enterprise. As the deepening of marketization and economic globalization,the developing of the enterprise is impacted by the environment more and more obvious,and the competition between the enterprises tend to be more severe,and the risk of enterprise operation is also enlarged. How to identify the developing direction in the period of Corporation Transformation, integrate the resource effectively , thinking practically and firm the enterprise developing strategy after restructuring is the inner request of reforming and developing of State-owned enterprise. Therefore the restructuring and reshuffle of enterprise must start from the Strategy Altitude and exert every effort on the foster of core competitive power of enterprise.Based on this reason,this paper had do some research on the developing strategy of Hunan Province Hydraulic and Hydroelectric Engineering First Company (HPHHEFC) after restructuring. After the statement of background and purpose of title selection, the paper summarizes the application of enterprise strategy management theory and enterprise value theory and the needed main strategy management analysis tool. The paper begins from the analysis of the inner environment of company in proper order that from the macroscopic to microcosmic,from common to specific. By means of analyze the macroscopic environment of company by the PEST method and the industry environment of company by industry competition structure conduct method (Michael Porter's Five Force Model), the paper find out the exterior opportunity and risk which the company be faced with. After the analysis of exterior environment,by the analysis of inner management resource,operation resource and value chain of company, the paper confirmed the advantage and disadvantage of company's inner environment. On the basis of this,the paper come to the feasible strategy plan of company by using the SWOT matrix analyze method,carry out the integration of feasible strategy plan after the reappraise of purpose and perspective of company, confirm the XiangShuiZong integration Development Strategy and draw up an Orientation of Three Step for General Development Strategy and an strategic objectives. The paper drafts two main business strategies that Construction General Contract Management and Hydroelectric Development according to the General Development Strategy. The Construction General Contract Management Business Strategy emphasizes on the cost leadership and differentiation strategy in fulfills the objective , and put forward related capital operation strategy for hydroelectric development business. The last chapter of the paper analyze the exist obstacles in the strategy implementation and present related measures to overcome these obstacles.The research on the XiangShuiZong development strategy in this paper also provide a suggestion for the State-owned enterprise reform.
