With the coming era of knowledge and economy and the integration of worlde economy ,non-governmental science and technology enterprises in China are facing new challenge and opportunity. As key and rare resources for non-governmental science and technology enterprise's development, human capital plays more and more important role in the enterprise. Giving effective incentive to human recourses of non-governmental science and technology enterprise and designing a scientific and reasonable incentive mechanism which meets the demand of enterprise are very important for the sustainable development of non-governmental science and technology enterprise.This article studies the non-governmental science and technology enterprise based on our country incentive situation of human capital as well as some empirical experts and scholars from the research base, using a qualitative analysis and quantitative research method of combining at the same time the study is divided as follow: Comparison of methods, macro analysis and micro-analysis, the literature method.Firstly, this paper defines some important concepts, introduction and review some of prevalence of human capital theories and incentive theories,in order to set up a theoretical basis, and then definition the concept of non-governmental science and technology enterprise's human captical ,then analyzes the status of human capital and the incentive problems of the human capital, and improve the human capital of non-governmental science and technology enterprise's incentive strategy.At last, taking LB Company as an example, firstly description the LB Technology Company, analyze the status of human capital and incentive problems, further pose improve countermeasure.This paper does the research by combining academic analysis and positive analysis, and pose some measures which match with the characteristics of non-governmental science and technology enterprise's human capital. Hope the discussion of this paper can guide the practice of management effectively ,and can enhance the effectiveness of incentive mechanism of science and technology enterprise ,and at last can realize the aim of incentive and can truly increase human recourses utility.
