It is originated in the text from the briefing on highway projects financed by Asian Development Bank (ADB) in China, and the status of project employer organization management. Economical theory, production system and property system on expressway have given theoretical reasons on systems or forms of expressway project employer's organization (EPEO). EPEO in Yunnan province has experienced three stages of development: one company for a section of highway, three company for three highway corridors or networks, and one general company for provincial highway network. EPEO is surrounded by the number of ten project stakeholders from inside and outside, and impacted by the differences between domestic situation and international management, especially from ADB by means of his result-oriented management. Challenged by planning economy vs market economy, domestic formalities vs international practices, three stage EPEO has undertaken three types of functions and incorporated into five entities. By analysis of EPEO characteristics and classification, EPEO has been classified into seven types of organization with inconsistencies between form and content, that is to say seven fruits with skin not responding to flesh, which resulted into problems such as unclear self-identification, non-division between government and enterprise etc. In accordance with state regulations and polices, inspired by the relevant economic and organization theories, countermeasures or solutions also have been proposed. Firstly, to grasp EPEO organizational management and reform strategies to integrate his multi-stage, multi-role and multi-function, including establishing scientific modern enterprise systems to be a fundamental strategy, building and managing priority strategies and comprehensive objectives on development at stages; secondly, after outlining strategies and directions, the critical point and breakthrough is to make division between government and enterprise, and define power boundaries between them, including developing the media strip-special investment entity, coordinating relationship of ownership or investment, sector superintendent, concession and contract/covenant. Thirdly, to be actual, enforcing employer legal personnel system, improving legal personnel governance structure, and promoting enterprise and capital restructures to attract strategic investor from outside; At last, to study the trend of organization development from domestic and abroad, utilize new thinking way and technology, especially expressway intelligence system with his great power to make innovative breakthrough on organization management and development.
