TZN Group Limited Company (TZN GROUP) is a large-sized personal enterprise, It went into operation and run in 1996 and reformed system for the share-issuing enterprise in 2000, with foundation and perfection of company's governance structure , with will be listing abroad of TZN Group, the traditional incentive management idea and mode cannot be suitable for the company's development demand. At present, the most obvious "short board" of the corporation is that the incentive mechanism is not flexible and the allocating mechanism is unreasonable. If it can't increase the "short board" within short time, then, the company will face very deep crisis in future market competition. So, the reform of corporation's incentive mechanism is imperative.This paper begins with incentive and incentive mechanism, analyzes advantages and disadvantages of typical incentive mechanism of national and international enterprises based on summary on incentive theory. on this basis, This paper also analyzes present situation of incentive mechanism of TZN Group and find out the existing problem in aspect of incentive. According to TZN Group's strategy of development, this paper gives a new plan of incentive mechanism to provide guidance suggestions for reforming HRM of TZN Group.This paper lays special stress on defects existing in salary system on basis of researching existing incentive mechanism of TZN Group. According to TZN Group's general requirement of reforming HRM and different demands of all kinds of staff in TZN Group, this paper designs different salary incentive mechanism as below: existing yearly salary of high level managers should be improved and a stock option system of high level managers is designed; a yearly salary system of middle level managers is designed; a salary system of post beneficial salary plus project bonus is designed for special engineering people, combing post salary with achievement salary. etc. On the other hand, this paper emphasizes material incentive and sprit incentive combine together, designing multifarious sprit incentive, including perspective incentive, emotional incentive, participation and honor incentive, etc. In order to guarantee execution of incentive mechanism, this paper also designs a supportive system for incentive mechanism.Finally, with analysis and evaluation on effects of incentive in TZN Group, a conclusion is that new incentive mechanism is effective and target of inspiring staff is achieved.
